Print Works – Terms and Conditions

1. General
These Terms and Conditions apply to all goods and services supplied by Print Works unless otherwise agreed in writing by an authorised representative of Print Works. By placing an order, the customer agrees to be bound by these Terms and Conditions.

2. Quotations and Orders
2.1 Quotations provided by Print Works are valid for 14 days unless otherwise stated.
2.2 Quotations given verbally (including by telephone) are not binding until confirmed in writing.
2.3 An order is only accepted when Print Works confirms acceptance in writing or begins work on the order.
2.4 Orders accepted by Print Works may not be cancelled without written consent. The customer may be required to pay for any work completed and costs incurred up to the date of cancellation.

3. Prices and Payment
3.1 All prices are exclusive of VAT unless otherwise stated.
3.2 Print Works reserves the right to adjust prices where production costs increase due to factors beyond its control or due to changes requested by the customer.
3.3 Unless otherwise agreed in writing, payment is due upon completion of the order or prior to delivery.
3.4 Print Works reserves the right to charge interest on overdue accounts at a rate of 2% per month above the outstanding balance until payment is made in full.

4. Proofs and Approval
4.1 Proofs will be provided for customer approval where requested.
4.2 The customer is responsible for checking all proofs carefully before approval.
4.3 Print Works accepts no liability for errors that were present in proofs but not corrected by the customer.
4.4 Any alterations requested after proofs have been produced may incur additional charges.

5. Delivery
5.1 Delivery dates are estimates only and while Print Works will make every reasonable effort to meet agreed timelines, delivery times are not guaranteed.
5.2 Delivery may be made by collection from Print Works premises or by another agreed method.
5.3 Risk in the goods passes to the customer upon delivery or collection.

6. Title to Goods
Ownership of goods remains with Print Works until payment has been received in full for all goods and services supplied. Until ownership passes, the customer must store the goods safely and maintain appropriate insurance.

7. Quantity Variations
Due to production processes, orders may be subject to a margin of over or under supply.
• Up to 5% for single-colour work
• Up to 10% for multi-colour work
The final invoice will be adjusted accordingly.

8. Customer Materials and Artwork
8.1 Materials supplied by the customer remain at the customer’s risk.
8.2 Print Works reserves the right to refuse unsuitable materials.
8.3 Additional charges may apply if customer-supplied materials cause delays or additional work.

9. Copyright and Intellectual Property
9.1 Copyright and design rights in artwork created by Print Works remain the property of Print Works unless otherwise agreed in writing.
9.2 The customer may only reproduce designs once full payment has been received and with Print Works’ permission where applicable.

10. Customer Warranty and Indemnity
10.1 The customer warrants that any material supplied to Print Works does not infringe the intellectual property rights of any third party.
10.2 The customer agrees to indemnify Print Works against any claims, costs, damages, or legal expenses arising from materials supplied by the customer.

11. Storage
If the customer fails to collect goods within a reasonable period after notification of completion, Print Works may store the goods at the customer’s risk and charge reasonable storage costs.

12. Liability
12.1 Print Works shall not be liable for any indirect or consequential losses, including loss of profit, business, or opportunity.
12.2 Where goods are defective, Print Works’ liability shall be limited to correcting the defect or reprinting the work where reasonably possible.
12.3 Any defects must be reported in writing within 48 hours of delivery.

13. Force Majeure
Print Works shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control including but not limited to natural disasters, power failures, equipment breakdown, or supply shortages.

14. Insolvency
If the customer becomes insolvent, enters liquidation, bankruptcy, or makes arrangements with creditors, Print Works reserves the right to suspend work and require immediate payment for work already completed.

15. Consumer Rights
Nothing in these Terms and Conditions shall affect the statutory rights of a consumer under the Consumer Rights Act 2015.

16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

18. Digital Files and File Preparation
18.1 The customer is responsible for ensuring that all digital files, artwork, images, fonts, and other materials supplied to Print Works are correctly formatted and suitable for printing.
18.2 Print Works shall not be responsible for errors in the final product resulting from issues within the files supplied by the customer, including but not limited to resolution, colour format, font substitution, or layout errors.
18.3 If Print Works is required to correct or adjust customer-supplied files to make them suitable for production, additional charges may apply.

19. AI-Generated and Third-Party Content
19.1 Where the customer supplies artwork, text, images, or designs generated using artificial intelligence tools or obtained from third-party sources, the customer warrants that they have the legal right to use such materials for commercial printing.
19.2 Print Works accepts no responsibility for copyright infringement or legal claims arising from AI-generated or third-party content supplied by the customer.
19.3 The customer agrees to indemnify Print Works against any claims, damages, costs, or legal expenses resulting from the use of such materials.

20. Abandoned or Uncollected Orders
20.1 If the customer fails to collect completed work or arrange delivery within 30 days of being notified that the order is ready, Print Works reserves the right to charge reasonable storage fees.
20.2 If the order remains uncollected for more than 90 days, Print Works reserves the right to dispose of the goods without liability and may recover any outstanding costs from the customer.
